Outflo Customer Referral Program Terms

    These Outflo Customer Referral Program Terms (the "Terms") are entered into between Tweaker Technologies Private Limited, doing business as Outflo, having its registered office at House No. 24, 18th Main Road, 2nd Block, Koramangala I Block, Bangalore South, Bangalore - 560034, Karnataka, India, CIN U62010KA2025PTC201739 ("Outflo", "we", "us", or "our"), and the Outflo customer organization accepting these Terms through the Outflo application ("Participant", "you", or "your").

    By selecting the acceptance checkbox and submitting your acceptance, you confirm that you have read, understood, and agree to these Terms. If you accept for an organization, you represent that you have authority to bind that organization. These Terms become effective when Outflo records your acceptance (the "Effective Date").

    These Terms supplement the Outflo Terms and Conditions and Privacy Policy. If these Terms conflict with the Outflo Terms and Conditions solely about the Customer Referral Program, these Terms control for that subject.

    1. Program participation

    1.1 The Customer Referral Program lets an eligible Outflo customer invite prospective customers using the unique referral link assigned to its organization. Participation is non-exclusive, revocable, and subject to these Terms.

    1.2 You must be an authorized user of an Outflo customer organization in good standing. You may not sell, transfer, sublicense, publish for resale, or share control of your referral account or link.

    1.3 Outflo may verify eligibility, pause referral activity, investigate suspicious activity, or request reasonable information needed to prevent fraud, abuse, sanctions violations, duplicate attribution, or material harm.

    1.4 Participation does not guarantee any signup, conversion, account credit, revenue, or other benefit.

    2. Referral link and attribution

    2.1 You must use the referral link supplied in Outflo. You may link only to destinations approved by Outflo and may not alter, obscure, or manipulate its tracking information.

    2.2 Attribution uses a last eligible partner-source click model. A verified signup is attributed to your organization when its eligible referral click is the last eligible affiliate or customer-referral click recorded during the 60-day period before signup. A later direct visit does not by itself overwrite an otherwise valid referral.

    2.3 A later eligible affiliate or customer-referral click may replace your click before signup. One referred organization can be attributed to only one partner source. Outflo's server-side attribution records control, subject to correction for demonstrated technical error.

    2.4 The prospective customer must complete signup through the supported Outflo flow. Forwarding a link does not guarantee attribution if tracking evidence is blocked, expired, invalid, overwritten, or not present when signup is verified.

    3. Eligibility and prohibited referrals

    3.1 A referred organization can qualify only if it:

    • is a genuine new Outflo organization and not an existing or duplicate customer account;
    • completes a verified signup validly attributed under Section 2;
    • makes the first eligible collected payment described in Schedule A;
    • is not controlled by, under common control with, or created primarily for the benefit of the Participant; and
    • remains eligible throughout the validation hold.

    3.2 Self-referrals are prohibited. You may not refer your own organization, workspace, controlled entity, employee account, household account, or any account created primarily to obtain a credit. Substantially common ownership, control, payment credentials, contact information, or usage may be treated as evidence of a self-referral or coordinated abuse.

    3.3 Cookie stuffing, forced clicks, hidden redirects, misleading buttons, automated clicks, fabricated signups, duplicate accounts, transaction cycling, impersonation, and other artificial attribution methods are prohibited.

    3.4 Employees, contractors, and representatives of Outflo may not earn a Customer Referral Program credit unless Outflo gives prior written approval.

    4. Qualifying payment

    4.1 A referral becomes eligible for a reward only after Outflo actually collects the referred organization's first eligible invoice payment in a supported reward currency and the eligible collected revenue meets the threshold in Schedule A.

    4.2 Eligible collected revenue means the non-zero subscription amount actually collected by Outflo, after invoice-level discounts and excluding taxes. Refunds, credits, chargebacks, disputes, reversals, uncollected amounts, zero-value invoices, free trials, and ineligible products or services are excluded.

    4.3 A signup or trial alone is not a pending credit and does not create a reward. If the first collected payment does not meet the threshold, is in an unsupported currency, or is otherwise ineligible, no automatic reward is created. Outflo may review a currency or evidence mismatch but is not required to convert currencies or substitute another reward.

    5. Account-credit reward

    5.1 Subject to these Terms, each qualifying referred organization creates at most one fixed Outflo account credit for the Participant's organization in the amount and currency stated in Schedule A.

    5.2 The reward belongs to the Participant organization, not to an individual user or the referred organization. It is non-transferable, cannot be sold or assigned, has no cash value, and cannot be withdrawn, exchanged, or paid out.

    5.3 An approved credit is applied through the Participant organization's matching-currency Outflo billing account and reduces future eligible Outflo invoice amounts according to the billing provider's application order. It cannot be applied across currencies or moved to another customer or organization.

    5.4 If the Participant has no matching-currency future invoice, the credit may remain unused. Closing an account, ending a subscription, or ceasing to use Outflo does not create a right to a cash refund or alternative benefit, except where applicable law requires otherwise.

    5.5 The referred organization receives no reward under this terms version unless Outflo separately offers one in writing.

    6. Validation hold, review, and reversals

    6.1 Each reward is subject to a 30-day validation hold beginning on the date of the qualifying collected payment. During the hold, the reward is not available for invoice application.

    6.2 Outflo may place a documented additional hold while reasonably reviewing attribution, payment status, fraud indicators, refunds, disputes, legal compliance, sanctions concerns, or a material data inconsistency.

    6.3 If a qualifying payment is later refunded, credited, disputed, charged back, reversed, or found ineligible, Outflo may reject a pending reward or create an offsetting reversal for a live or partly applied credit. The reversal will not exceed the reward attributable to the affected referral.

    6.4 Corrections are recorded as additional audit and ledger entries rather than by deleting historical evidence. If you believe a referral record is wrong, notify Outflo with supporting information within 60 days after it first appears in your referral dashboard.

    7. Communications and required disclosures

    7.1 You must describe Outflo honestly and use your own genuine experience. You must not make false, misleading, unsubstantiated, or unauthorized claims about Outflo, including claims about features, results, safety, pricing, discounts, legal compliance, or guaranteed outcomes.

    7.2 Whenever a referral recommendation or endorsement could influence a prospective customer, you must clearly and conspicuously disclose that you may receive an Outflo account credit if the person or organization becomes an eligible customer. The disclosure must appear with the recommendation and must comply with applicable advertising and endorsement law and the rules of the platform used.

    7.3 You must not:

    • send spam or unlawful unsolicited communications;
    • impersonate Outflo or present your page, account, domain, or communication as official Outflo material;
    • advertise an unauthorized coupon, discount, or special offer;
    • use Outflo trademarks, logos, or copyrighted materials except under current written brand guidance;
    • place referral links in unlawful, deceptive, discriminatory, sexually explicit, violent, or malicious content;
    • use adware, spyware, browser extensions, toolbars, pop-ups, or software that inserts or replaces attribution without informed user action; or
    • appoint sub-referrers, operate a referral network, or share the reward with a prospective customer without prior written approval.

    7.4 You cannot bind Outflo, make contractual commitments for Outflo, or act as Outflo's employee, agent, broker, franchisee, partner, or representative.

    8. Data protection and confidentiality

    8.1 Referral tracking and program administration are governed by Outflo's Privacy Policy. Outflo may process link, click, signup, attribution, account, billing, fraud-prevention, and acceptance evidence needed to operate, secure, audit, and enforce the program.

    8.2 Do not submit sensitive personal information through a referral link or collect personal data on Outflo's behalf. You are responsible for having a lawful basis for any contact information you independently use and for honoring applicable privacy, marketing, and communications laws.

    8.3 Each party must protect non-public commercial, security, customer, and technical information received from the other and use it only for the program or the Outflo services, unless disclosure is required by law.

    9. Taxes

    9.1 You are responsible for taxes, reporting, and accounting treatment applicable to an account credit received by your organization. Outflo may collect information or withhold, report, reduce, or delay a credit where required by law.

    9.2 An account credit is a promotional billing adjustment, not wages, commission, a bank deposit, stored value, or a payment service.

    10. Suspension, changes, and termination

    10.1 Either party may end participation at any time. Outflo may immediately pause or terminate participation for suspected fraud, abuse, unlawful conduct, sanctions risk, misleading promotion, attribution manipulation, material breach, or risk to Outflo or its customers.

    10.2 After termination, new clicks do not create referral eligibility. A valid referral established before termination may continue only if termination was not related to fraud, abuse, or a breach affecting that referral. Earned credits remain subject to validation, adjustment, and reversal.

    10.3 Outflo may retire the program for new participants or offer a replacement program or terms version. A replacement does not retroactively reduce a credit already earned under an accepted immutable version. Continued participation under materially revised terms may require a new electronic acceptance.

    10.4 Sections concerning eligibility, reversals, data, taxes, disclaimers, liability, disputes, records, and general terms survive termination as needed to give them effect.

    11. Disclaimers

    11.1 The program, referral links, tracking, dashboards, and credits are provided "as is" and "as available." Outflo does not guarantee uninterrupted tracking, availability, conversion, billing timing, or commercial results.

    11.2 To the maximum extent permitted by law, Outflo disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. Nothing in these Terms excludes a warranty, liability, remedy, or consumer right that cannot lawfully be excluded.

    12. Indemnity and limitation of liability

    12.1 You will defend, indemnify, and hold harmless Outflo and its directors, officers, employees, and agents from third-party claims, penalties, damages, and reasonable costs arising from your unlawful communications, misleading statements, infringement, privacy violation, attribution abuse, or willful misconduct.

    12.2 To the maximum extent permitted by law, neither party is liable under these Terms for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility.

    12.3 Except for fraud, willful misconduct, confidentiality or data-protection breaches, intellectual-property infringement, indemnity obligations, or liability that cannot lawfully be limited, each party's aggregate liability arising from the program will not exceed the total account credits awarded to the Participant during the six months preceding the event giving rise to the claim.

    13. Electronic acceptance and records

    13.1 You consent to contracting electronically. Outflo may retain the accepted terms version, rendered terms, cryptographic hash, acceptance timestamp, organization and user identifiers, and privacy-preserving network and device evidence to establish acceptance and maintain an audit trail.

    13.2 Outflo maintains append-only attribution, reward, credit, application, correction, and audit evidence. Corrections may be represented by offsetting records rather than deletion or rewriting.

    13.3 Notices may be delivered through the Outflo application or to the email associated with your account. Legal notices to Outflo may be sent to team@outflo.io.

    14. Governing law and disputes

    14.1 These Terms are governed by the laws of India, without regard to conflict-of-law principles.

    14.2 The parties will first try in good faith to resolve a dispute through written notice and discussion for at least 30 days.

    14.3 If unresolved, the courts located in Bengaluru, Karnataka have exclusive jurisdiction, subject to any non-waivable right or remedy under applicable law.

    15. General

    15.1 These Terms, Schedule A, the immutable machine-readable program rules associated with your accepted version, and the incorporated Outflo Terms and Conditions and Privacy Policy are the entire agreement concerning the Customer Referral Program.

    15.2 If these Terms and the machine-readable rules conflict about calculation mechanics, the machine-readable rules control the calculation. These Terms control the parties' legal rights and obligations. Outflo will correct a material inconsistency in good faith and will not use an undisclosed rule to reduce an already earned credit.

    15.3 You may not assign these Terms without Outflo's prior written consent. Outflo may assign them in connection with a merger, reorganization, financing, sale of business, or transfer of the Outflo platform.

    15.4 Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified only to the minimum extent necessary, and the remainder stays effective. Headings are for convenience only. "Including" means "including without limitation."
